Vitrolife AB (publ) is a Swedish public limited company whose shares are listed on NASDAQ OMX Stockholm. The principles for corporate governance applied by Vitrolife are based on Swedish legislation, primarily the Swedish Companies Act and the Swedish Annual Accounts Act, the rules and regulations of NASDAQ OMX Stockholm AB (the Stockholm Stock Exchange) and in accordance with the provisions of the Swedish Code of Corporate Governance (“the Code”) and they apply to the financial year 2010.

An Annual General Meeting (AGM), is held every year to among other things, elect the Board of Directors, present the Annual Report from the previous year and to give the shareholders an opportunity to ask questions.

Corporate governance Guidelines for remuneration
Principles for remuneration and other conditions of employment for the CEO and Senior Management are adopted by the Annual General Meeting.
Corporate governance Election committee
The three largest shareholders shall be given the opportunity to appoint a member to the Election Committee. The Chairman of the Board is also a member of the Committee.

The company auditor is Öhrlings PricewaterhouseCoopers AB.
